Contract Obligations

This document describes the payment and conduct obligations you accept as a Client when you send an offer through CXOwork and an Advisor accepts it. By clicking Send offer, you authorize the charges described below and agree that this document, together with our Terms & Conditions and Privacy Policy, forms a legally binding agreement between you and CXOwork LLC ("CXOwork", "we", "our", or "us").

1.Acceptance of Charges

When you click Send offer, you make a binding offer to pay the rate, hours, and fees specified on that offer if the Advisor accepts. Acceptance by the Advisor creates a contract between you, the Advisor, and (for platform fees) CXOwork. You authorize CXOwork and its third-party payment processor to charge the payment method on file for all amounts owed under that contract, including the Contract Initiation Fee, recurring invoices, automatic weekly payments (if you enabled them), and any late fees that accrue.

2.Contract Initiation Fee

A one-time $29 Contract Initiation Fee is charged to your payment method on the date the Advisor accepts your offer. The fee covers Advisor vetting, NDA and engagement-record administration, and onboarding support during the first two weeks of the engagement. It is non-refundable except where required by law.

3.Invoice Cadence

  • Hourly contracts. Invoiced weekly, on the contract's anniversary day each week. The invoice line-items the hours the Advisor logged that week, capped at the weekly hours limit you set on the offer.
  • Monthly retainer contracts. Invoiced monthly on the contract's anniversary day, as a single fixed line.
  • Fixed-price contracts. Invoiced at each milestone you and the Advisor agreed on. Each milestone invoice is generated when the milestone is marked complete in CXOwork.
  • Automatic weekly payments. If you enabled automatic weekly payments on the offer, that recurring amount is invoiced every week starting on the contract start date, in addition to (not instead of) any rate-based billing.

4.Net Terms & Automatic Charging

Every invoice carries net 4 day payment terms. CXOwork (and its payment processor) will automatically charge the payment method on file four (4) calendar days after the invoice is generated, unless the invoice has been paid in full before then or you have opened a formal dispute under Section 6 within those four days.

Automatic charging applies to any payment method you have provided to CXOwork, including credit cards, debit cards, and ACH bank-account debits. By providing a payment method, you represent that you are authorized to use it and you grant CXOwork a continuing authorization to debit it for amounts owed under your active contracts until the contract is closed and any outstanding balances are settled.

If a charge is declined, reversed, or returned (e.g. NSF, chargeback, expired card), CXOwork may retry the charge on subsequent business days, attempt alternative payment methods you have on file, and pause the affected contract until payment is brought current. See Section 7 for the consequences of non-payment.

5.Late Fees

Any amount not paid within 4 days of invoice generation accrues a late fee of 1.5% per month (or 18% per annum), or the maximum rate permitted by applicable law, whichever is lower. Late fees compound monthly until the balance is paid in full. Bank fees, chargeback fees, and any third-party collection costs CXOwork incurs in collecting an overdue balance are passed through to you.

6.Disputing an Invoice

If you believe an invoice is incorrect — wrong hours, scope mismatch, duplicate charge, or a milestone you have not approved — you must open a formal dispute before the auto-charge runs. To open a dispute:

  • Open the affected contract on your CXOwork dashboard and click Dispute invoice, or
  • Email disputes@cxowork.com referencing the invoice ID.

A timely dispute pauses the automatic charge while CXOwork reviews the claim. If the dispute is resolved in your favor in whole or in part, the disputed amount is waived or refunded; the undisputed portion remains due and will be charged on the normal schedule. Disputes raised after the auto-charge has run are handled as refund requests under Section 8 — chargebacks initiated through your card issuer or bank without first opening a dispute through CXOwork are treated as a material breach of these obligations.

7.Consequences of Non-Payment

If a balance remains unpaid, CXOwork may, at its discretion:

  • Pause the affected contract and prevent the Advisor from logging additional hours or starting additional milestones until the balance is brought current;
  • Suspend your CXOwork account and your ability to send new offers;
  • Apply any credits, deposits, or future payment-method authorizations against the overdue balance;
  • Refer the balance to a third-party collections agency, in which case you are liable for reasonable collection costs and attorney's fees as permitted by law;
  • Terminate the contract for cause and pursue any other remedy available at law or in equity.

You remain liable for hours the Advisor performed in good faith reliance on the contract, including hours performed before any pause or termination took effect.

8.Refunds

CXOwork does not hold escrow; payments flow directly to the Advisor through our payment processor. Refund eligibility on Advisor compensation is therefore at the Advisor's discretion in the first instance. CXOwork will mediate disputes in good faith and may, at its sole discretion, issue a platform-side credit or refund against the Contract Initiation Fee or auto-pay amounts. Refund decisions are final.

9.Cancelling, Pausing, or Closing a Contract

You may pause or close a contract from your dashboard at any time, subject to the 30-day minimum on hourly contracts disclosed at offer time. Cancelling a contract does not waive amounts already invoiced or hours already worked. Those amounts remain due and will be charged on the normal schedule. Auto-pay authorizations are revoked the moment a contract is closed; no further automatic weekly charges will occur on a closed contract.

Closing your CXOwork account does not extinguish outstanding obligations on active or recently-closed contracts. CXOwork retains the right to charge the payment method on file for any balance that was due before the closure date.

10.Tax, Currency & Receipts

Amounts are stated in U.S. dollars unless otherwise specified on the offer. You are responsible for any sales, use, withholding, or other taxes assessed on the engagement, except taxes on CXOwork's net income. CXOwork (or the Advisor's payment processor, as applicable) will issue a receipt or invoice PDF for each charge, available from your dashboard.

11.Changes to These Obligations

We may update these Contract Obligations from time to time. Changes apply prospectively to offers sent after the effective date. Material changes (changes to the auto-charge timing, late-fee rate, or refund policy) will be announced via email at least seven (7) days before they take effect for new offers. Existing contracts continue to be governed by the version in effect when the offer was sent, unless both parties agree in writing to migrate.

12.Relationship to Other Agreements

These Contract Obligations supplement — they do not replace — the CXOwork Terms & Conditions and Privacy Policy. Anti-circumvention obligations, confidentiality, dispute resolution, governing law, and limitation of liability set out in the Terms apply in full. If there is a direct conflict between this document and the Terms with respect to payment mechanics, this document controls.
